Company Secretary Job Description Template
Our company is looking for a Company Secretary to join our team.
Responsibilities:
- Preparing and filing of confirmation statements and other documentation to Companies House;
- Being the main point of contact for technical queries on Company Secretarial matters;
- General house keeping of the Company Secretarial software and database, ensuring full compliance;
- Answering phone calls and dealing with queries;
- Assisting with share reorganisation filings at Companies House;
- Contribute to meeting discussions and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies;
- Ensure policies are kept up to date and approved by the committee;
- Organising the provision of company secretarial services, being mainly UK listed Investment Trusts;
- Assisting with business development to gain new company secretarial clients;
- Deal with correspondence, collate information and write reports;
- Develop the systems and ensure that company compiles with all applicable codes in addition to its legal and statutory requirements;
- Ensuring the successful preparation and production of interim and annual reports and accounts;
- Maintain the register of shareholders;
- Take minutes, draft resolutions and lodge required forms and annual returns with Companies House;
- Prepare agendas and papers for board meetings, committees and annual general meetings.
Requirements:
- Comprehensive knowledge of UK Company Law and experience of regulated environments;
- Educated to degree standard;
- Prior experience of using a Board portal such as Diligent;
- Experience of working with Companies House and the Financial Conduct Authority;
- Eager to benchmark a best practice attitude to corporate governance;
- Ability to work with integrity, discretion and diplomacy and essential;
- Knowledge of Companies Act, UK Listing Rules and UK Corporate Governance Code;
- Need previous experience of work as Assistant Company Secretary, or similar;
- Must be ICSA (Institute of Chartered Secretaries and Administrators) qualified, or part qualified;
- ICSA qualified;
- At least 5+ years relevant experience;
- Self-starter with leadership qualities;
- Very much a people person;
- Comfortable coaching and developing your team members.
